Terms of Use

The rules that apply when you use the SERV website, an invited account, or the client portal.

1. Acceptance of these terms

These Terms of Use (“Terms”) govern your access to and use of servrecruitment.com, SERV accounts, and the SERV client portal (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. About the Services

SERV Recruitment provides executive search, recruitment, and related advisory services. Our public website provides general information about SERV and available opportunities. Invited accounts and client portals may provide authorized users with search progress, reporting, and other information related to their organization.

Recruitment and advisory engagements may also be governed by a separate signed agreement. If these Terms conflict with a signed agreement between SERV and a client, the signed agreement controls for that engagement.

3. Recruitment information is not a guarantee

Job descriptions, compensation information, timelines, search statistics, and other recruitment information may change and are provided for general or process-related purposes. SERV does not guarantee an interview, offer, placement, candidate, hiring outcome, employment duration, or the accuracy of information supplied by a candidate, client, employer, or other third party. Hiring and employment decisions remain the responsibility of the relevant candidate and employer.

4. Candidate responsibilities

When you apply for or discuss an opportunity, you agree to:

  • provide information that is accurate, current, and not misleading;
  • have the right to provide all documents and information you submit;
  • keep SERV informed of material changes relevant to an active process;
  • respect confidential information shared about a client, role, or search; and
  • provide any specific consent required before SERV contacts references, performs permitted checks, or presents your information for an opportunity.

You may withdraw from a recruitment process at any time by contacting SERV. Our handling of information already collected is described in our Privacy Policy.

5. Accounts and client portal access

SERV accounts are invitation-only, personal to the invited user, and limited to the organizations and features assigned by SERV. You must use the invited email address, keep your sign-in method and device secure, and promptly notify us of suspected unauthorized access. You may not share an account or allow another person to use your credentials.

Company access may be added, changed, suspended, or removed by an authorized SERV administrator. You must not attempt to view information belonging to another company or access any part of the Services beyond the permissions assigned to you.

6. Portal and search confidentiality

Portal reports, search progress, candidate information, compensation discussions, interview feedback, and other non-public recruitment information are confidential. You may use them only for your organization's authorized hiring activities and may disclose them only to colleagues or advisers who need the information for that purpose and are subject to appropriate confidentiality obligations. Candidate identities and internal SERV notes may be restricted or withheld from portal views.

7. Acceptable use

You must not:

  • use the Services unlawfully, fraudulently, or in a way that infringes another person's rights;
  • submit malicious code, interfere with security, probe for vulnerabilities, or disrupt the Services;
  • scrape, harvest, copy, or systematically extract candidate, client, or portal data;
  • reverse engineer or bypass access controls, except to the limited extent a restriction is prohibited by law;
  • impersonate another person or misrepresent your affiliation or authority; or
  • use information obtained through SERV to discriminate unlawfully, send unsolicited communications, or pursue a purpose unrelated to the authorized search or service.

8. Intellectual property

The Services and their content—including SERV branding, site design, text, reports, templates, graphics, and software—are owned by SERV or its licensors and are protected by intellectual property laws. SERV grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. No other rights are granted. Client-owned materials and third-party marks remain the property of their respective owners.

9. Third-party services and links

The Services may link to or rely on third-party job boards, professional networks, authentication providers, scheduling tools, or other services. SERV does not control and is not responsible for third-party content, availability, security, or terms. Your use of a third-party service is governed by that provider's terms and policies.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information and forms part of these Terms.

11. Availability and changes

We may maintain, update, change, suspend, or discontinue any part of the Services. We aim to keep the Services available and accurate but do not guarantee uninterrupted access or that every error will be corrected. We may restrict access where reasonably necessary to protect users, candidates, clients, SERV, or the security and integrity of the Services.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” SERV disclaims warranties that are not expressly stated in these Terms or a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

13. Limitation of liability

To the maximum extent permitted by law, SERV and its directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from use of the Services. Nothing in these Terms limits liability that cannot lawfully be limited. Any liability governed by a signed client agreement remains subject to that agreement.

14. Suspension and termination

You may stop using the Services at any time. SERV may suspend or terminate access if an account is no longer authorized, these Terms are breached, a client relationship ends, or access presents a legal, privacy, or security risk. Provisions that by their nature should continue—including confidentiality, intellectual property, disclaimers, liability limits, and governing law—survive termination.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to any mandatory law or agreed dispute process, disputes relating to these Terms or the Services will be brought before the courts of Ontario, Canada.

16. General terms

If a provision of these Terms is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without SERV's consent; SERV may assign them in connection with a reorganization, financing, or transfer of its business. These Terms, together with the Privacy Policy and any applicable signed agreement, form the relevant agreement concerning your use of the Services.

17. Changes to these terms

We may update these Terms as the Services or legal requirements change. We will post the revised Terms here and update the date above. Material changes may also be communicated through the Services or by email where appropriate. Your continued use after updated Terms take effect means you accept them.
